Terms of Service

These Terms are provided for reference ahead of contracting. The executed
version agreed at pilot kickoff governs each engagement. For a negotiated

These Terms of Service ("Terms") govern your ("Client", "you") access to
and use of the MolDyn molecular screening service and related software
("the Service"). By obtaining an API key, license key, or running the
MolDyn installer, you agree to be bound by these Terms.
1. Acceptable use
You agree to use the Service only for lawful purposes in connection with legitimate research, drug discovery, or related scientific activities. You shall not, and shall not permit any third party to:
- Reverse engineer. Attempt to disassemble, decompile, probe, or otherwise derive the source code, model weights, algorithms, training data, library indices, or ranking methodology underlying the Service. This includes systematic querying designed to extract the internal structure of the library, the encoder, or the scoring function.
- Circumvent limits. Share API keys, rotate IPs, spawn multiple accounts, or otherwise attempt to evade the rate limits,
top_k caps, or plan restrictions described in these Terms and in the API documentation.
- Harm the Service. Transmit malware, conduct denial-of-service attacks, scrape beyond plan limits, or otherwise interfere with the integrity or availability of the Service.
- Unlawful use. Use the Service to screen substances that would be unlawful to synthesize or possess in your jurisdiction, or to develop chemical, biological, or other weapons prohibited under international law.
- Re-identify redacted data. Attempt to re-associate hashed, anonymized, or redacted outputs with individuals or trade secrets of any third party.
2. Data privacy
- Client-submitted data. SMILES strings, PDB identifiers, and other data you submit with requests are processed to serve your request, logged for abuse detection, quota enforcement, and quality assurance, and then retained according to our then-current retention schedule (by default, up to 180 days). - No third-party sharing. We do not sell or share your submitted queries with any third party, except (a) to service providers strictly under confidentiality, or (b) as required by law.
- Aggregate usage. We may use anonymized, aggregated usage statistics (request counts, latency distributions, target popularity) to operate and improve the Service, without identifying you or your queries.
3. Plans, quotas, and billing
- Access to the Service is governed by the plan associated with your API key. Plan caps on monthly request count and
top_k are enforced by the Service and are listed in the API reference.
- Exceeding the monthly request cap returns HTTP 429 and blocks further requests until the next billing cycle or plan upgrade.
- You are responsible for fees incurred under your selected plan. Disputes must be raised in writing within 60 days of the invoice.
- We may adjust plan pricing with at least 30 days' notice delivered to the email address on file.
4. Liability limitations
- No medical or clinical use. The Service provides ranked similarity hits for research purposes only. Outputs are not a substitute for experimental validation, wet-lab screening, expert review, or regulatory approval. The Service must not be used as the sole basis for any medical, clinical, therapeutic, or regulatory decision.
Warranty disclaimer. The Service is provided "as is" and "as available," without warranty of any kind, express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We make no representation that Service outputs will be accurate, complete, reproducible, or suitable for any particular application.
Limitation of liability. To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms shall not exceed the amount paid by you for the Service in the twelve (12) months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data.
5. Intellectual property
- CellsWave retains all IP in and to the Service, the underlying encoder and algorithms, any models trained by CellsWave, any library indices, and any benchmark results published by CellsWave. No license is granted to you in such IP, except the limited, revocable, non-exclusive, non-transferable right to use the Service as permitted by these Terms.
- Your content. You retain ownership of the SMILES strings, PDB identifiers, and other content you submit. You grant CellsWave a limited, non-exclusive license to use such content solely to provide the Service and as described in Section 2.
- Feedback. Any feedback, suggestions, or ideas you provide are non-confidential, and we may use them without restriction or compensation.
6. Termination
- By you. You may stop using the Service at any time. Termination does not entitle you to a refund of fees paid for the current billing period.
- By CellsWave. We may suspend or terminate your access immediately and without refund for: (a) material breach of these Terms, including Section 1 (Acceptable Use) or Section 5 (IP); (b) failure to pay fees; (c) a legal or regulatory requirement to do so; or (d) activity that threatens the security or integrity of the Service. Non-material breaches will be subject to at least 14 days' written notice and an opportunity to cure.
7. Changes to these Terms
We may modify these Terms from time to time. Material changes will be communicated by email and posted here at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
8. Governing law
The executed pilot agreement or MSA specifies the governing law and venue. Absent such an agreement, these Terms are governed by the laws of the jurisdiction of CellsWave's principal place of business, without regard to conflict-of-laws rules.
